This sweepstakes for a 2010 smart fortwo passion coupe is sponsored by Green Mountain Energy Company, REP Cert. No. 10009 (“Green Mountain”), Small Car, LP (d/b/a “smart center Sugar Land”), and Houston Auto M. Imports North, Ltd. (d/b/a “smart center Houston North”) (Green Mountain, smart center Sugar Land and smart center Houston North are collectively referred to herein as the “Sponsors”.)

This sweepstakes is intended for play and participation in the State of Texas only, and shall be construed and evaluated according to the laws of the State of Texas and the United States.

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING.

1. TO ENTER: The Get Smart, Go Green! Sweepstakes (the “Sweepstakes”) starts at 12:00:01 a.m. Central Daylight Time (“CDT”) on July 1, 2010 and ends at 11:59:59 p.m. CDT on November 14, 2010 (the “Promotion Period”). To enter, fill out an entry form at the Green Mountain booth at various events during the Promotion Period where you see the official entry forms, or visit www.greenmountain.com/smartcar during the Promotion Period and complete the online registration form. Online entries must be received by 11:59:59 p.m. CDT on November 14, 2010. Limit one (1) entry per household from all methods of entry combined.

Sponsors are not responsible for printing or typographical errors; incorrect or inaccurate entry information; late, lost, misdirected or incomplete entries; computer system or phone line errors, software/hardware malfunctions or other errors; or for failures or delays in transmissions that are human or technical in nature. By entering into the Sweepstakes, you agree to be bound by the terms and conditions of these Official Rules. Void outside Texas and where prohibited by law.

2.ELIGIBILITY: The Sweepstakes is open to legal residents of the State of Texas 18 years of age and older as of July 1, 2010. Employees, officers, directors, agents, vendors and representatives of Sponsors and smart USA Distributor LLC, and each of their parent companies, respective subsidiaries, affiliates and advertising/promotion agencies (as applicable) involved with this Sweepstakes (the “Sweepstakes Parties”) and the immediate families (spouse, siblings, parents, children and their respective spouses) and household members of such persons are not eligible to win. The Prize Winner must have a valid U.S. driver’s license and proof of insurance to take delivery.

3.DRAWING AND PRIZE INFORMATION: One (1) Prize Winner will receive a 2010 smart fortwo passion coupe vehicle (“smart car Prize”). The Approximate Retail Value (“ARV”) of the smart car Prize is $14,690.00 before taxes, title and license. The Prize Winner will be selected by a random drawing from all eligible entries received during the Promotion Period. The random drawing will be conducted on or before December 1, 2010, by Green Mountain, whose decision is final in all matters. Odds of winning depend on the number of eligible entries received for the Sweepstakes.

The potential Prize Winner will be notified on or before December 1, 2010. Green Mountain will make three (3) attempts to contact the potential Prize Winner via phone and/or email within seventy-two (72) hours from the time of the random drawing. If Green Mountain is unable to reach the potential Prize Winner via phone and/or email within this time frame, he/she will be disqualified and an alternate Prize Winner will be selected by a random drawing from all remaining eligible entries received during the Promotion Period. The potential Prize Winner must take delivery of the vehicle in person no later than December 22, 2010 at the smart center Sugar Land dealership located at 15625 Southwest Freeway, Sugar Land, Texas 77478.

The potential Prize Winner will be required to sign and return an affidavit of eligibility, a liability / publicity release, and any other release reasonably requested by Sponsors to receive his/her smart car Prize. Failure to (i) take delivery of the smart car Prize within the time period provided above, (ii) sign and return an affidavit of eligibility, a liability / publicity release, and any other release reasonably requested by Sponsors, and/or (iii) comply with these Official Rules will cause forfeiture of, and a loss of all claims and rights to the smart car Prize. Thereafter, Green Mountain may select an alternate Prize Winner by a random drawing from all remaining eligible entries received during the Promotion Period.

The smart car Prize will be delivered with a standard base model package. Any additional options are Prize Winner’s responsibility. The smart car Prize color will be based on availability. Any vehicle displayed at events or pictured in promotional/advertising materials may not be the actual vehicle awarded. Manufacturer’s standard limited warranty applies to the smart car Prize. Prize Winner is solely responsible for any expenses in connection with the smart car Prize not expressly described herein as being awarded including, without limitation, the following: (i) all taxes, including but not limited to income, federal, state, and local taxes; (ii) vehicle sales tax, title and license; (iii) insurance, registration fees, delivery charges, dealer preparation fee and/or additional options, additions or equipment; and (iv) any additional expenses not described herein as being awarded. The Prize Winner will be issued an IRS Form 1099 to report his/her winnings. The Prize Winner must have a valid U.S. driver’s license and proof of insurance to take delivery of the smart car Prize.

The smart car Prize may not be substituted, transferred or redeemed for cash except at the sole discretion of Sponsors. In case of unavailability, Sponsors reserve the right to substitute a prize of equal or greater value. NEITHER SPONSORS NOR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS, HAVE MADE NOR ARE IN ANY MANNER RESPONSIBLE FOR ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE SMART CAR PRIZE, INCLUDING BUT NOT LIMITED TO ITS QUALITY, MECHANICAL CONDITION OR FITNESS FOR A PARTICULAR PURPOSE. ANY AND ALL WARRANTIES, REPRESENTATIONS, AND/OR GUARANTEES ON THE SMART CAR PRIZE (IF ANY) ARE SUBJECT TO THE RESPECTIVE MANUFACTURER’S TERMS THEREFORE, AND THE PRIZE WINNER AGREES TO LOOK SOLELY TO SUCH MANUFACTURER FOR ANY SUCH WARRANTY, REPRESENTATION AND/OR GUARANTEE.

4.RELEASE: All Sweepstakes participants and/or Prize Winner, on behalf of himself/herself, his/her executors, heirs and assigns, by acceptance of any offer or prize received under or in connection with this Sweepstakes, agree to release the Sponsors and Sweepstakes Parties from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses of any kind to persons or property which may be sustained in connection with the conduct, promotion or outcome of the Sweepstakes; receipt, ownership, use or misuse of any prize; or while preparing for, participating in or traveling to and/or from any prize-related activity in connection with the Sweepstakes or otherwise. Under no circumstances will Sponsors or the Sweepstakes Parties be liable for any indirect, incidental, consequential, special, punitive, or any other damages. Notwithstanding the foregoing, the Prize Winner is not waiving or releasing any right under any applicable rules or regulations of the Public Utility Commission of Texas governing retail electric providers.

Acceptance of the smart car Prize constitutes permission for the Sponsors and Sweepstakes Parties to use the Prize Winner’s name, city of residence, photograph, video tape, film or any other likeness, including his/her voice, recorded or live, for purposes of Sponsors’ advertising and promotion in any and all forms of media without further compensation, except where prohibited by law. The Prize Winner further agrees to hold Sponsors and the Sweepstakes Parties blameless and without liability for such publication, broadcast or use.

5.GENERAL: Sponsors reserve the right, in their sole discretion, to cancel or suspend the Sweepstakes or any portion thereof should a virus, bug, malicious tampering, or other cause beyond the control of Sponsors corrupt the administration or proper play of the Sweepstakes. In the event of cancellation, Sponsors will award the smart car Prize in a random drawing from all eligible entries received prior to cancellation.

Sponsors reserve the right, in their sole discretion, to disqualify anyone found to be tampering with the entry process or the operation of the Sweepstakes or website hosting the Sweepstakes, or to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person.

Sponsors may modify and amend these Official Rules as they appear in print or online from time to time during the Promotion Period for clarification purposes without materially affecting the terms and conditions of the Sweepstakes. Sponsors are not responsible for any typographical or printing errors in the advertising of the smart car Prize included in the Sweepstakes, these Official Rules, website pages or other promotional materials.

6.CHOICE OF LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Sweepstakes participants and Sponsors in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard for its conflicts of law doctrine, and all proceedings shall take place in Travis County, Texas.

7.DATA COLLECTION: Sponsors will be collecting personal data about participants when they enter the Sweepstakes. Please review Green Mountain’s Privacy Policy at www.greenmountain.com, the smart center Sugar Land’s Privacy Policy at www.smartcentersugarland.com, and the smart center Houston North’s Privacy Policy at www.smartcenterhoustonnorth.com. By participating in the Sweepstakes, entrants hereby agree to all of the terms and conditions of (i) the Green Mountain Privacy Policy, (ii) the smart center Sugar Land Privacy Policy, and (iii) the smart center Houston North Privacy Policy.
